<p>In a significant ruling for co-operative housing societies in Maharashtra, the <strong>Bombay High Court</strong> clarified that the <strong>Government Resolution (GR) dated 04.07.2019</strong>, which provides guidelines for society redevelopment under Section 79(A) of the Maharashtra Co-operative Societies Act, is <strong>directory and not mandatory</strong>.</p>



<p>This means that while the GR recommends certain procedures, including <strong>floating competitive tenders to select a builder</strong>, failure to follow them strictly <strong>does not automatically make the redevelopment process illegal</strong>, provided the <strong>majority of society members approve the developer</strong> and the process is conducted <strong>transparently under supervision</strong>.</p>

<h3 class="wp-block-heading"><strong>Case Background</strong></h3>



<p>The judgment arose from a dispute at <strong>Ramanuj Co-op Housing Society, Goregaon-West</strong>, where the <strong>petitioner, Devendra Kumar Jain</strong>, the ex-Chairman of the society, challenged the appointment of <strong>Cunni Realty and Developer Pvt. Ltd.</strong> as the redevelopment contractor.</p>



<p>Mr. Jain alleged that:</p>

<li>The Society issued a <strong>Letter of Intent (LoI) to the developer without floating a tender</strong>, violating the GR’s guidelines.</li>



<li>The <strong>Deputy Registrar of Co-operative Societies’ representative was absent</strong> at the Special General Body Meeting (SGBM) held to approve the redevelopment.</li>



<li>The Society’s actions were <strong>mala fide</strong>, occurring after his removal as Chairman.</li>

<p>He requested that the Court <strong>quash the redevelopment process</strong> and direct a <strong>fresh procedure under the Deputy Registrar’s supervision</strong>.</p>

<h3 class="wp-block-heading"><strong>Society and Developer’s Defense</strong></h3>



<p>The <strong>Respondent Society</strong> explained that the redevelopment was part of a <strong>cluster initiative called “Mahesh Nagar Federation”</strong>, combining four housing societies, including Ramanuj Co-op, for coordinated redevelopment. Out of <strong>391 members across the four societies</strong>, <strong>323 had consented</strong> to appointing Cunni Realty as the developer.</p>



<p>The Society emphasized that:</p>

<li>The <strong>Special General Body Meeting on 23.03.2025</strong> was <strong>conducted in the presence of an Authorized Officer</strong> appointed by the Deputy Registrar.</li>



<li>The meeting was <strong>videographed</strong>, and a report was submitted to the Deputy Registrar, who subsequently granted a <strong>No Objection Certificate (NOC)</strong> for the redevelopment.</li>



<li>The petitioner, being the <strong>only dissenting member</strong>, cannot block a process <strong>approved by the majority</strong>.</li>



<li>Even if preference was given to the developer, <strong>other tender opportunities remained open</strong>, but no other developers submitted formal proposals.</li>
