A leave and license agreement for Flat No. 301 on the third floor of the building known as Krishna 2 (also referred to as Ekta House), located in Juhu Scheme, Mumbai, has been registered. The licensor is Ekta Ravi Kapoor, and the licensee is Dharmesh Maldevbhai Godhania, resident of Ahmedabad.
The agreement, executed at Mumbai and registered on 28 July 2026 permits the licensee to use and occupy the said premises solely for residential purposes for himself and his family members. The term is twenty-four (24) months commencing from 1 March 2025 up to and including 28 February 2027.
Under the agreement, the licensee is required to pay a monthly license fee of Rs 1,50,000 (Rupees One Lakh Fifty Thousand only). The fee is payable in advance on or before the 5th day of each month. Simultaneously with execution, the licensee was to hand over post-dated cheques covering the entire license fee for the full term. The licensee is entitled to one car parking space in the compound of the building. Electricity, water, telephone and internet charges are to be paid directly by the licensee on actual consumption basis. BMC and society charges (including any future increases) remain the responsibility of the licensor, while any applicable service tax is to be borne by the licensee.
Key conditions include: no right to create a sub-license or part with possession; the premises must be used lawfully and not for any immoral, illegal or hazardous purpose; the licensee must maintain the premises in good condition (normal wear and tear excepted) and may install only temporary/removable fittings that can be removed without damage at the end of the term; no structural alterations without the licensor’s permission; and compliance with society rules and bye-laws.
Either party may terminate the agreement by giving one month’s prior written notice, with the licensee remaining liable for license fee during the notice period. The licensor may also terminate for breach after providing a short written notice (3–5 working days) to remedy. Upon expiry or earlier termination, the licensee must hand over vacant peaceful possession. Delay or failure to vacate attracts a liability of Rs 10,000 per day of unauthorized occupation. A joint inspection is contemplated for assessing any damage, with the licensor entitled to adjust repair costs against any security deposit (though the extracted text of the agreement does not specify the quantum of any security deposit).
The agreement clarifies that it creates only a permissive right of use and does not confer any tenancy, sub-tenancy, easement or other interest in the premises. Disputes are to be referred to arbitration under the Arbitration and Conciliation Act, 1996 (venue Mumbai), with courts at Mumbai having exclusive jurisdiction. Stamp duty and registration charges are to be shared equally by the parties. Notices are to be served at the addresses specified in the agreement (licensor at Juhu Scheme, Mumbai; licensee at the Ahmedabad address).
Supporting documents forming part of the registered set include the 2011 Power of Attorney executed by Ekta Kapoor appointing Deepoo Vaswani (with authority to sign, execute and register leave-and-license agreements for the flats in the building, including Flat 301), identity documents (Aadhaar, PAN and photographs) of the parties and attorney, an electricity bill in the name of Ekta Kapoor for the premises, the stamp duty and registration fee challan (stamp duty Rs 9,000 + registration fee Rs 1,000, totaling Rs 10,000, paid via Bank of Baroda), document handling charges receipt of Rs 1,000, and the registration summary and defacement records. The Power of Attorney was notarized in 2011 and remains in force as declared.
